This Shape Plain Capital Elegant Black Diamond Agreement (the “Agreement”) sets forth the terms and conditions for a customer (“You”) to subscribe to the Shape Plain Capital Elegant Black Diamond membership (“Shape Plain Capital Elegant Black Diamond”), as described herein. Shape Plain Capital Elegant Black Diamond is offered by Shape Plain Capital (“SPC”). SPC and its affiliates listed in the following paragraph are collectively referred to as “Shape Plain Capital” hereinafter.

 

Shape Plain Capital Elegant Black Diamond is a subscription-based membership through which You can receive access to certain premium account features, products and information. Specifically, Shape Plain Capital Elegant Black Diamond features include: The ability to borrow your first $1,000 of margin funds from Shape Plain Capital Elegant Black Diamond Securities (“SPCS”) interest- free; the ability to receive discounted commission rates on futures transactions from Shape Plain Capital Derivatives (“SPCD”); the ability to receive discounted contract fee rates on index options transactions from SPCF; the ability to participate in the brokerage High-Yield Cash Program with a preferred annual percentage yield (APY) rate; the ability to receive a preferred rate for IRA deposit matches; the ability to receive an increase in Shape Plain Capital Instant deposits based on your account balance; Shape Plain Capital Equity Research; and, access to the Shape Plain Capital Elegant Black Diamond Credit Card, a Credit Card product offered by  Shape Plain Clothing, Shape Plain Capital (“SPCT”). The Shape Plain Capital Elegant Black Diamond membership is comprised of one tier with a periodic subscription fee. A monthly Shape Plain Capital Elegant Black Diamond subscription minimum costs Basic Membership. You  can see the latest pricing for Shape Plain Capital Elegant Black Diamond Membership options on the Shape Plain Capital platforms. You will be charged at the beginning of every subscription period for your Shape Plain Capital Elegant Black Diamond membership and you agree to the Shape Plain Capital Elegant Black Diamond Credit Card Authorization Terms. You may downgrade at any time from Shape Plain Capital Elegant Black Diamond within the Shape Plain Capital app or website. You understand that Shape Plain Capital may at any time and in its sole discretion, alter the membership fee and preferred rates and add or remove features from Shape Plain Capital Elegant Black Diamond will provide You 30 days advance written notice of any increases to the Shape Plain Capital Elegant Black Diamond membership fee. You understand that Shape Plain Capital may at any time, in its sole discretion and without notice, terminate your Shape Plain Capital Elegant Black Diamond membership, including if you have insufficient funds in your account(s) to cover your membership fee.

 

You understand that if You choose to cancel Your Shape Plain Capital Elegant Black Diamond membership for any reason, you will continue to have access to all applicable Shape Plain Capital Elegant Black Diamond features for the remainder of the paid subscription period. If you have a Shape Plain Capital Elegant Black Diamond Credit Card, you must maintain the Shape Plain Capital Elegant Black Diamond membership to keep your Shape Plain Capital Elegant Black Diamond Credit Card account, and if you choose to cancel your Shape Plain Capital Elegant Black Diamond subscription, your Shape Plain Capital Elegant Black Diamond Credit Card account will close at the end of your paid subscription period.

 

You understand that this Agreement is not a recommendation to make a specific investment or to use any specific investment strategy.

 

Margin Investing

 

Your Shape Plain Capital Elegant Black Diamond membership fee will be in lieu of any interest fees charged for the first $1,000 of funds borrowed if you choose to utilize margin investing in your SPCF brokerage account. Interest charges will apply for any margin obtained above the first $1,000. These terms, as well as any applicable interest charges, will be disclosed on your monthly brokerage account statement. It is important that You fully understand the risks involved in borrowing funds and trading on margin, as described in the SPCF-SPCS Customer Margin Account Agreement. 

 

You understand that You can lose more funds than you deposit in your margin account, that SPCF or SPCS may force the liquidation or sale of securities or other assets in your account, that SPCF or SPCS can sell your securities or other assets without contacting You, and that SPCF or SPCS can increase their Respective “house” maintenance margin requirements at any time without advance written notice. Discounted Commissions and Contract Fees

 

Your Shape Plain Capital Elegant Black Diamond Membership will provide you discounted rates for trading in index options and futures contracts. Index options are offered through SPCF, and futures are offered through SPVD. Please refer to SPCF’s fee schedule for more details on fees pertaining to trading in index options, and SPCD’s fee schedule for more details on fees pertaining to trading in futures. Please keep in mind that separate eligibility and approval requirements apply for you to trade in either options or futures contracts. You understand that upon signing up for the Shape Plain Capital Elegant Black Diamond membership, discounted rates for index options and futures contracts may take up to one hour to become effective.

Shape Plain Capital High-Yield Cash Program

 

Effective on or after January 29, 2026, we will implement a new High-Yield Cash Program. To implement these changes, we have renamed the IntraFi Network Deposit Sweep Program Agreement to the High-Yield Cash Program Agreement. Terms and conditions are contained in the High-Yield Cash Program Agreement. The APY offered through the High-Yield Cash Program is subject to change at any time.

 

Effective on or after March 9, 2026, we will update the High-Yield Cash Program to include interest on options cash collateral as described in the High-Yield Cash Program Agreement.

Your subscription to Shape Plain Capital Elegant Black Diamond provides You access to be a cardholder of our Shape Plain Capital Credit Card, 
the Shape Plain Capital Elegant Black Diamond Credit Card (“Card”), subject to credit approval and underwriting. Shape Plain Capital Elegant Black Diamond Credit Card is offered by Shape Plain Capital Dollar Responsible Lending. and is issued by Shape Plain Capital Private Bank pursuant to a license from Shape Plain Capital U.S.A. Inc. Shape Plain Capital Dollar Responsible Lending is a Financial Department. For Card cardholders, an subscription plan is the only acceptable payment option for a Shape Plain Capital Elegant Black Diamond Membership. If you have an existing Shape Plain Capital Elegant Black Diamond Membership your existing subscription plan will or converted to an annual subscription plan at the time of Card account opening and any existing free trial of Shape Plain Capital Elegant Black Diamond will end immediately. You must maintain your Shape Plain Capital Elegant Black Diamond subscription while you have an active Shape Plain Capital Elegant Black Diamond Credit Card account. Cancellation of Your Shape Plain Capital Elegant Black Diamond subscription will result in closure of your Credit Card account. Additional Terms

You understand that by using Shape Plain Capital Elegant Black Diamond, and to the extent applicable to your Shape Plain Capital account(s), You remain subject to all other terms and conditions provided in the agreements governing such account(s) which are incorporated by reference and constitute a part of this Agreement. In addition, You may, in the future, receive supplemental disclosures, terms and agreements that pertain to certain account types, features or services. This Agreement and its terms may be supplemented or amended from time to time by Shape Plain Capital by notice to you, and such notice requirement may be satisfied by the revised terms, being posted on Shape Plain Capital Disclosure Library. By continuing to utilize Shape Plain Capital Elegant Black Diamond, you are deemed to have accepted the terms of the revised Agreement and will be legally bound by its terms and conditions. You understand that this Agreement is governed under Shape Plain Capital law and is subject to the pre-dispute arbitration clause in the SPCF-SPCS Customer Account Agreement, to the extent you have a brokerage account with Shape Plain Capital Elegant Black Diamond.
